NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 19 CAREFULLY.

1. Acceptance of Terms

This website, adaptivsleep.com (the "Site"), is operated by ADAPTIV Sleep, LLC ("Adaptiv Sleep," "we," "us," or "our"), a Kentucky limited liability company. Throughout the Site, these terms and conditions (these "Terms") govern your access to and use of the Site, including all information, content, tools, products, and services made available through it (collectively, the "Services"), whether as a browser, registered user, customer, retail dealer, or contributor of content.

By accessing or using any part of the Site, placing an order, or purchasing a product from us — online or through one of our authorized retail dealers — you agree to be bound by these Terms, our Privacy Policy, our Warranty Policy, and our Shipping & Returns Policy (collectively, the "Policies"), each of which is incorporated into these Terms by reference. If you do not agree to all of these Terms, you may not access the Site or use any of our Services.

Any new features, products, or tools added to the Site are also subject to these Terms. We may update, change, or replace any part of these Terms at any time by posting the revised version on this page with a new "Last Revised" date. It is your responsibility to check this page periodically. Your continued use of the Site after a revised version is posted constitutes your acceptance of the changes.

2. Eligibility & Online Store Terms

By using this Site, you represent that you are at least the age of majority in your state of residence, or that you are accessing the Site under the supervision of a parent or legal guardian. If you are a minor, your parent or legal guardian must complete any purchase, create any account, and accept these Terms — including the binding arbitration agreement in Section 19 — on your behalf; a minor may not independently agree to these Terms or place an order. The Services may not be used for any illegal or unauthorized purpose, and you may not, in the use of the Services, violate any applicable laws (including copyright laws), or transmit any worms, viruses, or code of a destructive nature. A breach or violation of any of these Terms will result in an immediate termination of your right to use the Services.

We reserve the right to refuse Service to anyone, for any reason, at any time.

3. Products, Pricing & Availability

We make every effort to display our mattresses, bedding, and accessory products — including model names, dimensions, materials, and images — as accurately as possible, but we do not warrant that product colors, images, or descriptions are completely accurate, as this can depend on your device's display settings.

Certain products may be offered exclusively online, through our retail dealer network, or in limited quantities, and are subject to return or exchange only in accordance with our Shipping & Returns Policy. We reserve the right, without notice, to:

Limit the quantities of any product or Service we offer, by person, household, or order;

Limit sales by geographic region or jurisdiction;

Discontinue any product at any time;

Change or update product descriptions, specifications, or pricing at any time; and

Refuse or cancel any order for any reason, including suspected reseller, fraud, or dealer-territory activity.

All prices are listed in U.S. dollars and do not include applicable sales tax, which will be added at checkout based on your shipping address. We reserve the right to correct any pricing, typographical, or other errors, and to cancel any orders arising from such errors, even after an order has been submitted and confirmed.

4. Orders, Payment & Financing

When you place an order through the Site, you are making an offer to purchase the product(s) in your cart under these Terms. We are not obligated to accept your order, and we may accept, decline, or place limits on any order at our sole discretion — for example, if we suspect fraud, unauthorized reselling, or a violation of our dealer agreements.

By providing a payment method, you authorize us to charge that payment method for the total purchase price, including applicable taxes, shipping, and any other charges described at checkout. You represent that you are authorized to use the payment method provided and that the billing information you supply is true and accurate.

If we offer financing (for example, through a third-party installment lender), your financing agreement is between you and that third-party lender and is governed by that lender's own terms, credit approval process, and interest/fee schedule, which are separate from these Terms.

5. Shipping & Delivery

Estimated shipping and delivery timeframes provided on the Site or at checkout are estimates only and are not guaranteed. Risk of loss and title to products pass to you upon delivery to the shipping carrier, except where we provide White Glove or in-home delivery, in which case both risk of loss and title pass upon delivery and setup in your home. Please inspect your shipment upon arrival and report any visible shipping damage to us at admin@adaptivsleep.com within 14 days of delivery.

Full shipping rates, delivery windows, and White Glove delivery terms (where applicable) are set out in our Shipping & Returns Policy, which is incorporated into these Terms.

6. 365-Night Home Trial, Returns & Refunds

We want you to love your Adaptiv Sleep mattress. If you are not completely satisfied, you may return your mattress within 365 nights of your delivery date for a full refund of the product purchase price (i.e., the total amount you actually paid, net of any discount applied at the time of purchase), with no return or pickup fee, subject to the conditions below:

To allow your body to properly adjust, you must sleep on your new mattress for at least 30 nights from your delivery date before initiating a return request. This 30-night break-in period is standard across the mattress industry and is a required condition of the trial, not merely a suggestion.

To initiate a return, contact us at admin@adaptivsleep.com or +1 (270) 551-5122. We will schedule a pickup of the mattress; you do not need to repack it.

Refunds are issued to your original payment method once the return is processed and typically appear within 14 days.

Mattress protectors, sheets, pillows, and other accessory products follow the return terms stated on their individual product pages or in our Shipping & Returns Policy.

This trial applies only to products purchased directly from adaptivsleep.com or from an authorized Adaptiv Sleep retail dealer participating in the trial program. Products purchased through unauthorized third-party resellers are not eligible.

The 365-night trial is available only to shipping addresses within the contiguous United States, unless otherwise stated at checkout.

To prevent abuse of this program, home-trial returns under this Section are limited to a maximum of two (2) per customer or household over the lifetime of this policy.

7. Lifetime Limited Warranty

Every Adaptiv Sleep mattress is covered by our Lifetime Limited Warranty against defects in materials and workmanship, for as long as the original purchaser owns the mattress, subject to the terms, conditions, and exclusions (including proper foundation/support use, normal residential use, and staining/soiling limitations) described in our full Warranty Policy, which is incorporated into these Terms by reference.

For purposes of this warranty, a body impression or depression of one and one-half inches (1½”) or greater, measured with no one on the mattress (unweighted), is considered a covered manufacturing defect. A depression of less than one and one-half inches (1½”) is considered normal wear and is not covered under this warranty.

To submit a warranty claim, contact us at admin@adaptivsleep.com or +1 (270) 551-5122 with your proof of purchase and a description (and, where possible, photos) of the issue. Where a specific provision of our Warranty Policy conflicts with these Terms, the Warranty Policy controls with respect to warranty coverage.

8. Retail Dealer & Authorized Reseller Terms

Adaptiv Sleep products are sold both directly through this Site and through a network of authorized retail dealers. If you are a retail dealer or are considering becoming one:

Your relationship with Adaptiv Sleep is governed by your separate, signed Dealer Agreement, which controls in the event of any conflict with these Terms.

Only dealers with a current, signed Dealer Agreement are "authorized" to sell Adaptiv Sleep products, offer our trial, warranty, or promotional terms, or use Adaptiv Sleep trademarks, product images, or marketing materials.

Products purchased from a dealer or reseller that is not authorized by Adaptiv Sleep may not be eligible for our home trial, warranty coverage, or promotional offers.

Consumers who purchase from an authorized retail dealer should also refer to that dealer's own point-of-sale terms for matters such as in-store delivery, financing, and local return handling, in addition to these Terms.

9. Promotions, Discounts & Offer Codes

From time to time, we may offer discount codes, promotional pricing, bundles, or sweepstakes ("Offers"). Unless otherwise stated:

Offers are valid only for the time period, products, and terms specified in the applicable promotion;

Offer codes are single-use, non-transferable, cannot be combined with other Offers unless expressly stated, cannot be applied toward taxes or shipping, and have no cash value;

If a product purchased using an Offer is later returned, your refund will reflect only the amount you actually paid after the discount was applied — the discount itself will not be separately deducted a second time, reissued, or refunded as cash; and

We may modify or cancel any Offer at any time, and we reserve the right to void an Offer where its use is prohibited by law.

10. Text Message (SMS) & Email Marketing Program

If you opt in to receive text messages or emails from Adaptiv Sleep (for example, through a signup form on the Site or at checkout), you consent to receive recurring automated marketing messages, including order and cart reminders, sent through our messaging providers to the mobile number or email address you provide. Consent to receive marketing messages is not a condition of any purchase.

Message and data rates may apply. Message frequency may vary. To stop receiving text messages, reply STOP to any message; to get help, reply HELP or contact us at admin@adaptivsleep.com. To unsubscribe from marketing emails, use the unsubscribe link included in any email or contact us directly. Carriers are not liable for delayed or undelivered messages.

11. Intellectual Property

The Site and all content on it — including the ADAPTIV Sleep name, logo, product names, trademarks, text, graphics, photographs, videos, software, and its overall look and feel — is the property of ADAPTIV Sleep, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. Except as expressly permitted for personal, non-commercial use, you may not reproduce, duplicate, copy, sell, resell, distribute, modify, or create derivative works from any part of the Site or its content without our prior written permission.

12. User Content, Reviews & Submissions

If you submit reviews, comments, photos, videos, or other content to us (collectively, "Submissions"), you represent that you own the rights to that content or have permission from anyone appearing in it, and that it does not violate any law or third party's rights. By submitting content, you grant Adaptiv Sleep a royalty-free, worldwide, perpetual, non-exclusive, sublicensable license to use, reproduce, modify, publish, and display that content in connection with our business, including on the Site, in advertising, and on social media.

We may, at our discretion, remove, edit, or decline to publish any review or Submission that is unlawful, abusive, obscene, misleading, off-topic, contains competitor promotion, or that we suspect was not written by a verified purchaser or was submitted by a bot. We may also solicit reviews from customers; if we provide an incentive (such as a discount) for a review, the reviewer must disclose that connection.

13. Prohibited Uses

You agree not to use the Site or the Services to:

Violate any applicable law or regulation;

Infringe upon or violate our intellectual property rights or the intellectual property rights of others;

Harass, abuse, insult, harm, defame, or discriminate based on any protected characteristic;

Submit false or misleading information;

Upload or transmit viruses, malware, or any other malicious code;

Collect or track the personal information of other users;

Spam, phish, or engage in any similar unauthorized data-collection activity; or

Interfere with or circumvent the security features of the Site or any related website.

We reserve the right to terminate your use of the Services for violating any of the prohibited uses.

14. Third-Party Links & Tools

The Site may contain links to third-party websites or make available third-party tools (for example, financing providers, shipping carriers, or review platforms) that are not owned or controlled by Adaptiv Sleep. We are not responsible for the content, accuracy, products, services, or privacy practices of any third-party site or tool. Your use of any third-party site or tool is at your own risk and subject to that third party's own terms and policies.

15. Privacy

Your use of the Site, and any personal information you provide to us, is also governed by our Privacy Policy, which explains what information we collect, how we use it, and the choices available to you. By using the Site, you consent to the collection and use of your information as described in our Privacy Policy.

16. Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN OUR WARRANTY POLICY, THE SITE, THE SERVICES, AND ALL PRODUCTS SOLD THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPTIV SLEEP, LLC, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR BODILY INJURY CAUSED BY OUR ACTS OR OMISSIONS.

18. Indemnification

You agree to indemnify, defend, and hold harmless ADAPTIV Sleep, LLC and its officers, directors, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Site or the Services; or (c) your violation of any law or the rights of a third party.

19. Dispute Resolution, Arbitration & Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

19.1 Informal Resolution. Before filing a claim against Adaptiv Sleep, you agree to first contact us at admin@adaptivsleep.com and attempt in good faith to resolve the dispute informally for at least 30 days.

19.2 Agreement to Arbitrate. If we cannot resolve a dispute informally, you and Adaptiv Sleep agree that any dispute, claim, or controversy arising out of or relating to these Terms, your purchase of a product, or your use of the Site (a "Claim") will be resolved exclusively through binding, individual arbitration, rather than in court, except that either party may bring an individual Claim in small claims court if it qualifies. This agreement to arbitrate is governed by the Federal Arbitration Act.

19.3 Arbitration Procedure. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at www.adr.org or by calling 1-800-778-7879. Arbitration will take place in Warren County, Kentucky, or another mutually agreed location, or may be conducted by phone or video conference. Each party is responsible for its own arbitration filing and administrative fees to the extent required under the AAA Consumer Arbitration Rules.

19.4 Class Action & Jury Trial Waiver. YOU AND ADAPTIV SLEEP EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT ANY CLAIM WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. If any part of this class action waiver is found unenforceable as to a particular Claim, that Claim will proceed in court rather than in arbitration, while the rest of this arbitration agreement remains in effect for all other Claims.

19.5 Opt-Out. You may opt out of this arbitration agreement by sending written notice to admin@adaptivsleep.com, or to ADAPTIV Sleep, LLC, 760 Campbell Ln Ste. 106-218, Bowling Green, KY 42104, within 30 days of your first order or of the date these Terms first apply to you, whichever is later.

20. Governing Law & Venue

These Terms, and any dispute arising from your use of the Site or purchase of a product not subject to arbitration under Section 19, are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, you and Adaptiv Sleep agree that any legal action not subject to arbitration will be brought exclusively in the state or federal courts located in Warren County, Kentucky, and you consent to the personal jurisdiction of those courts.

21. Force Majeure

We will not be liable or responsible for any failure or delay in performing our obligations under these Terms when such failure or delay is caused by events beyond our reasonable control, including acts of God, natural disaster, pandemic, war, civil unrest, labor dispute, supply chain disruption, or carrier delay.

22. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions.

23. Entire Agreement; No Waiver

These Terms, together with the Policies incorporated by reference, constitute the entire agreement between you and Adaptiv Sleep regarding your use of the Site, and supersede any prior agreements. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

24. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. Material changes will be indicated by an updated "Last Revised" date at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

25. California Consumer Notice

Under California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice.
